These Terms of Service ("Terms") govern your use of the Arkin Vault platform operated by Aethyia Inc. ("Company", "we", "us"). By creating an admin account, accessing a shared document, or otherwise using the service, you agree to be bound by these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.
Arkin Vault provides software-as-a-service for secure document sharing, including access gating, NDA capture, watermarking, and audit logging. We may modify the service from time to time. Features available on a free, trial, or beta basis may be modified or discontinued at any time without notice.
You are responsible for safeguarding admin credentials and for all activity under your account. Notify us immediately of any unauthorized access at security@arkinvault.com.
You agree to comply with our Acceptable Use Policy and not to upload or share through the service any content that infringes intellectual property, violates law, or contains malware. We may suspend or terminate accounts that violate these Terms or the AUP.
You retain all rights in the documents you upload. You grant us a limited, non-exclusive license to host, render, transmit, watermark, and back up your content solely to provide the service. We do not access customer content except as necessary to operate the service, respond to your support requests, comply with law, or enforce these Terms.
If your plan includes fees, they will be set out in your order form or on our pricing page and are non-refundable except as required by law or expressly stated. We may change pricing on at least thirty (30) days notice.
These Terms remain in effect while your account is active. Either party may terminate for material breach with thirty (30) days written notice and an opportunity to cure. We may suspend immediately for security or abuse. Upon termination we will delete your customer content within ninety (90) days, except where retention is required by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS (US$100), WHICHEVER IS GREATER. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA OR PROFITS.
You will defend, indemnify, and hold harmless Aethyia Inc. and its officers, directors, employees, and agents from any third-party claim arising out of your use of the service, your customer content, or your breach of these Terms.
These Terms are governed by the laws of [INSERT JURISDICTION], without regard to conflicts-of-laws principles. The parties consent to the exclusive jurisdiction of the courts located in [INSERT JURISDICTION]. Disputes may be subject to binding arbitration where required by applicable law.
We may update these Terms from time to time. Material changes will be communicated through the admin interface, and continued use after the effective date of an update constitutes acceptance.
